Terms of Service — Ship

These Terms of Service (“Terms”) are a binding agreement between you and Aatavata Business Private Limited (a private limited company incorporated in India), D-9/165 Chitrakoot Scheme, Jaipur, Rajasthan 302021 (“Ship”, “we”, “us”, “our”), governing your use of the Ship mobile application and related services (the “Service”).

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and legally able to enter into a contract to use Ship. By using the Service you represent that you are 18+, that the information you provide is true, and that you are not barred from using the Service under any applicable law and have never been convicted of a violent or sexual offence (you authorise us to deny or terminate access at our discretion on safety grounds). The Service is for personal, non-commercial use only.

2. How Ship works

Ship is an AI-mediated dating service. You complete a personality profile, and we create a software “agent” that represents you. On a recurring basis, your agent converses with other users’ agents and casts an automated decision about compatibility. When two agents agree, the two users are matched and can chat directly.

You acknowledge that:

• Agents are automated software powered by third-party AI. They can produce inaccurate, incomplete, or unexpected statements, and they act based on the information you provide.
• We do not guarantee any matches, the quality, conduct, or identity of any other user, or any particular result, relationship, or outcome from using the Service.
• Matchmaking runs on a periodic (batch) basis, not instantly, and availability of matches depends on the pool of other users.

3. Your account

• You sign in using your mobile phone number and a one-time verification code. You are responsible for keeping access to your phone number and device secure.
• You may hold one account. You must keep your information accurate and up to date.
• You are responsible for all activity under your account. Notify us at [email protected] of any unauthorised use.

4. Your content and the licence you grant

“Your Content” means everything you submit: your profile, photos, personality inputs, agent answers, messages, and ratings.

• You keep ownership of Your Content.
• You grant Ship a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, adapt, translate, and display Your Content for the purpose of operating, providing, and improving the Service — including processing it through our AI providers (Anthropic and Voyage AI) and the AI agents, and showing relevant parts (your handle, photo, age, and agent conversation) to users you match with.
• You represent and warrant that you own or have the rights to Your Content, that it is accurate and lawful, and that its use as described does not violate any law or third-party right.

5. AI agents — authorisation and limitations

You authorise Ship to generate and send messages on your behalf through your agent, and to exchange those messages with other users’ agents, in order to evaluate compatibility and create matches. You understand that:

• Agent messages are machine-generated and may not accurately reflect your views; they are not verified statements of fact about you or anyone else.
• Agent conversation transcripts are stored and are visible to you and to a user you match with.
• A match results from automated decisions; you may request human review or opt out of automated matchmaking as described in the Privacy Policy §5 and §9.

6. Acceptable use

You agree not to, and not to attempt to:

• Use the Service if you are under 18, or create an account for anyone else or under a false identity;
• Harass, threaten, defame, stalk, abuse, or harm any person, or promote hatred or discrimination;
• Post or transmit content that is illegal, sexually exploitative (especially involving minors), violent, hateful, fraudulent, spam, or that infringes others’ rights;
• Solicit money from, scam, or commercially exploit other users (no advertising, prostitution, trafficking, or recruitment);
• Share other users’ private information or content (including agent transcripts) outside the Service without consent;
• Impersonate any person or misrepresent your affiliation;
• Reverse-engineer, scrape, data-mine, or use bots/automated means to access the Service, or use the Service or its AI outputs to build or train a competing product or model;
• Interfere with, overload, or compromise the security or integrity of the Service.

Violations may result in immediate suspension or termination and, where appropriate, referral to law enforcement.

7. Interactions with other users; your safety

Ship is a platform, not a party to interactions between users. We do not conduct criminal background checks or identity verification on users, and we do not vouch for any user’s conduct, identity, or intentions. You are solely responsible for your interactions with others.

• Use good judgement, especially when meeting anyone in person. Meet in public, tell someone where you’re going, and don’t share financial information.
• You can report or block users through the app or by contacting [email protected].
• To the fullest extent permitted by law, you release Ship from any claims arising out of your interactions with, or the conduct of, other users.

8. Privacy

Our handling of personal data is described in the Privacy Policy, which forms part of these Terms. The Service processes data that can reveal sensitive characteristics and uses precise location and third-party AI — please read it before using the Service.

9. Fees

The Service is currently provided free of charge. We may introduce paid features or subscriptions in the future; if we do, the applicable prices, billing terms, renewals, and cancellation/refund rules will be presented to you and form part of these Terms before you are charged. (Replace this section with full purchase terms if/when billing is added — the courts of Delhi, India and consumer-law refund rights may apply.)

10. Intellectual property

The Service, including the app, its design, software, and trademarks (but excluding Your Content), is owned by Aatavata Business Private Limited and its licensors and is protected by intellectual-property laws. We grant you a limited, personal, non-transferable, revocable licence to use the app for its intended purpose. All rights not expressly granted are reserved.

11. Third-party services

The Service depends on third-party providers (including Anthropic, Voyage AI, Google/Firebase, DigitalOcean, and Cloudflare). Their services are governed by their own terms, and we are not responsible for them. We are not liable for failures or harms caused by third-party services.

12. Suspension and termination

You may stop using the Service and delete your account at any time in-app. We may suspend or terminate your access, with or without notice, if you breach these Terms, create risk or legal exposure, or if we discontinue the Service. On termination, the licences you grant survive only as needed to operate and protect the Service, and Sections 4–7 and 10–17 survive.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT AGENT OUTPUTS OR MATCHES WILL BE ACCURATE, SUITABLE, OR SUCCESSFUL. WE MAKE NO WARRANTY ABOUT THE CONDUCT OR IDENTITY OF ANY USER. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, Ship AND ITS OFFICERS, EMPLOYEES, AND PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR EMOTIONAL DISTRESS, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR YOUR INTERACTIONS WITH OTHER USERS. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) [USD 100 / equivalent]. Nothing in these Terms excludes liability that cannot be excluded by law (such as for death or personal injury caused by negligence, or fraud).

15. Indemnification

You agree to indemnify and hold harmless Ship and its providers from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your Content, your use of the Service, your interactions with other users, or your breach of these Terms or of any law or third-party right.

16. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-laws rules. The exclusive forum for disputes is the courts of Delhi, India. (If you adopt binding arbitration and/or a class-action waiver, insert the full clause here; note these are restricted or unenforceable in some jurisdictions, including for many consumers in the EU and India — have counsel tailor this.) Nothing here removes any mandatory consumer-protection rights you have under the law of your country of residence.

17. Changes to these Terms

We may modify these Terms. We will post the updated Terms with a new “Last updated” date and, for material changes, give reasonable notice in-app before they take effect. Continued use after the effective date means you accept the changes; if you don’t agree, stop using the Service and delete your account.

18. General

These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor. We are not liable for delays or failures caused by events beyond our reasonable control.
